These Terms and Conditions of LionsBet Affiliates Program will be as a legal agreement (hereinafter referred to as the Agreement) between You and The Hubbing Bird LTD trading as LionsBet and holding an Online Sports Betting License from Lagos State Lotteries Board, with its registered office at 9th fl. By submitting Lionsbet Affiliates Member Account application, you agree that you have read and understood its Terms and Conditions and that you will be fully bound as a Member by each and every Term and Condition.

Terms 'you', 'your' and 'Member' refer to the applicant or participant in LionsBet Affiliate program.
Terms 'we', 'our' and 'us' refer to LionsBet

1.Every affiliate is entitled to one affiliate account; registration of more than one affiliate account will lead to the suspension of both accounts until further notice. Fraud will be treated as such.
2.We will evaluate your application and notify you whether your application was accepted. The fact that we approved your application does not imply that we may not re-evaluate your application at a later stage.
3.Your application will be rejected if we determine, in our sole discretion, that your site is unsuitable for any reason, including but not limited to:

LionsBet Rights
1-?We have the right to monitor your site/blog/pages at any time to determine if you are following the terms and conditions of this agreement. If not following, account will be suspended.
2-?We have the right to reject any application or refuse to do business with anyone.
3-?We have the right to suspend accounts for any site, blog or page, anytime, for any reason whatsoever, even without prior notice, without incurring any liability or responsibility whatsoever; especially when it comes to a breach of any of any provision of these Terms and Conditions.
4-?We have the right to modify any of our Terms and Conditions at any given time and for any reason. In this scenario, all Members in LionsBet Program will be informed electronically.
MEMBER AGREEMENT
1-?This Agreement shall commence when you indicate your acceptance in the manner specified above.
2-This Agreement shall end whenever you notify us, by email, with a termination letter at the following email address: [insert email address].
3-We are hereby entitled to terminate immediately this Agreement, in the event You breached any of the provisions of these Terms and Conditions, by sending You a notice of termination electronically. All rights and obligations arising out of or in connection to the present Agreement shall cease to exist.
4-?You shall display banner(s) provided by LionsBet Affiliate System on your site/blog/page as a hyperlink to direct Customers from your site/blog/page to our site, using distinct URLs supplied by LionsBet Affiliate System exclusively for linking the 'Supplied Banners'.
5-?You are not allowed to change, amend or alter any banner provided by Lionsbet, otherwise your account will be suspended.
6-You are not allowed to use the hyperlinks or any of its contents to imply sponsorship by LionsBet to your site, blog, page or business.
7-?You are not allowed to create or design your website, explicitly or implicitly, in a manner which resembles our website, or design your website in a manner which leads Customers to believe that you are an affiliate or a related party or that any partnership or joint venture is created or implied between you and Lionsbet in any way whatsoever.
8-?You hereby irrevocably acknowledge and agree that any commissions due to you under this Agreement shall be made during the term of this Agreement only, and no other commissions of any kind shall be paid after termination or expiration of the present Agreement.
DELIVERY AND DISPLAY OF BANNERS, COPY, AND PROMOTIONAL MATERIAL
As a Member, you will have access through LionsBet Affiliates' site to a variety of graphic and textual links.
1-?LionsBet Affiliates program grants the Member non-exclusive, non-transferable, non-assignable, revocable rights, during the term of this Agreement, to copy, transmit, distribute and display textual links for sponsoring purposes, and strictly for the purpose of the present Agreement.
2-?LionsBet banners, name, site name, and other related textual and graphic material (?Lionsbet?s Proprietary Materials?) are made available by LionsBet Affiliate System for you to advertise and promote our respective promotional material. The copywriting of promotions may not be modified nor misrepresented by the Member, and the Member shall not use any of Lionsbet?s Proprietary Materials in any way that is not specifically instructed and authorized by Lionsbet. The Member shall and hereby undertakes to hold Lionsbet harmless and to indemnify the latter against any and all third party claims for infringement of rights including without limitation third party intellectual property rights arising out of or in connection with a breach of this obligation.
3-LionsBet Affiliates System also authorizes the Member to refer, in the Member's advertising and promotions, to the fact that the LionsBet?s Affiliates sites are accessible through the Member?s site, provided that any such statement does not include any trademarks, service marks, design marks, symbols and/or other indicia of origin of LionsBet in a non-distinctive typeface.
4-?Such statement does not state, suggest, or imply, by the wording or prominence of such statement or otherwise, that LionsBet sponsors, authorizes, and/or is the source or origin of the Member?s site.
5-?Such statement does not disparage LionsBet, its products, services, or Members. All use of LionsBet?s Proprietary Materials hereunder shall inure to the benefit of Lionsbet and shall not create any rights, title or interest in any of LionsBet Proprietary Material or any part thereof to the Member.
6-?No other use of the LionsBet names, trademarks, service marks, design marks, symbols and/or other indicia of origin or other designations confusingly similar to any of the foregoing may be made by the Member for any purpose without the prior written approval of LionsBet. The Member hereby acknowledges that any breach of this provision may imply or create a confusion to the Customer when dealing with any product or service offered and therefore, Member shall be held liable and shall indemnify and hold harmless LionsBet against any damage or loss incurred by LionsBet arising out of or in connection to such breach.
7-?The Member hereby acknowledges and agrees that LionsBet owns, and shall continue to own exclusively, all right title and interest, including without limitation, all rights provided under the law of copyright and trademark, in and to LionsBet?s Proprietary Materials and all names, trademarks, service marks, design marks, symbols and/or other indicia of origin therein throughout the world and in perpetuity.
MAINTAINING THE LINKS
You agree to fully cooperate with us in order to establish and maintain the Links between Your Site and our Affiliates Site. The maintenance and updating of Your Site will be your responsibility. The graphics and/or text associated with the Links to our Affiliates Site will be updated periodically and it will be necessary for you to update the content of Your Site accordingly on a regular basis. Please be aware that we have the right to monitor Your Site at any time to determine if you are following the terms and conditions of this Agreement and to notify you of any changes to Your Site that we feel should be made.
COMMUNICATION TO MEMBERS
By signing up to our Affiliates you agree to receive a variety of material from LionsBet Affiliates. If you choose to opt out of our communications, we will not be responsible for any damages that may occur from members opting out of communications.
SPAM - WE DO NOT CONDONE SPAM
Any form of spam will result in your account being closed and all funds due being withheld. You need to be aware that we are liable to incur expenses in dealing with spam generated mail and these same expenses will be deducted from your account should we seek recourse. In this instance the amount determined by us will be fair and deemed final and?acceptable based on good faith and such amount will be collectable by law and deemed to have been accepted by you as fair and reasonable and as agreed to by registration as an affiliate of LionsBet Affiliates. Should these expenses not be covered by funds in your account we reserve the right to investigate other alternative means for obtaining payment including recourse to file a claim against you for unpaid amounts.
You will not knowingly benefit from known or suspected traffic not generated using accepted Internet marketing practices whether or not it causes harm for us. Should fraudulent activity, knowingly or otherwise, arise from a person directed to our site via your link; we retain the right to retract the commissions paid to you at any time. Our decision in this regard will be final and no correspondence will be entered into. We reserve the right to retain all amounts due to you under this Agreement if we have reasonable cause to believe that such traffic has been caused with your knowledge.
COMMISSIONS
1- LionsBet offers different commission ranges based on monthly net profit.
2- Commission will start with 35% on this monthly net profit, and can reach 50% commission.
If Net Profit is between N1? N100,000 , you will earn 35% commission,
If Net Profit is between N100,001? N999,999 , you will earn 40% commission,
If Net Profit is N1,000,000 and above, you will earn 50% commission.
3- Monthly net profit means the total stakes amount of your acquired customers MINUS the total winnings amount of your acquired customers MINUS the total amount of Bonuses given to these acquired customers MINUS charge backs and fraud traffic. Acquired customers should have no more previous active accounts on LionsBet platform when registering under your affiliate ID. Operating 1 active account on their own, and another one under your Affiliate ID will lead to suspend both accounts.
4- Your commission will be paid on a monthly basis, based on what was mentioned above.
5- The life time of active players is 1 year, which means, after 1 year from the date of registration of any active player, this player will be removed from their affiliate list.
6- If the total net revenue from your referred new customers is negative for a given calendar month, the negative balance will be rolled to the next month, until a positive balance is achieved.
7- WHT will be deducted from the commission before paying it, because we are required by law to apply an applicable WHT, withholding taxes on any commission payable.
8- Commission will be applied same way on other currencies, if any affiliate from outside Nigeria is willing to register and work with us.
Payment Terms
1- Minimum affiliate commission withdrawal cannot be less than 1,000 Naira.
2- Your affiliate commission will be processed into your bank account within 15 working days of the following month.
3- We are not responsible for any technical delay or bank delays exceeding the above mentioned period.
4-Payment will be made in Naira?s for all Members inside Nigeria.
5- Payments?payable to foreign Members?may be processed in US dollars, Euros and GB pounds at the market exchange rate (the owanda.com) within 20 working days from the payment report being compiled by us. In this case, minimum transfer amount cannot be less than 500 USD or equivalent.
6-We have the right to change the payment schedules and methods of calculation at any time, at our sole discretion.
MEMBER REWARD PROGRAMS
To participate, you must be an active Member in good standing with us. Members participating in any reward program agree to be bound by the decisions of LionsBet Affiliates, which will be final and binding in all respects. All interpretations of the Rules and decisions by LionsBet] Affiliates are final.
LionsBet Affiliates reserves the right to terminate any and all Member Rewards programs for any reason, including, but not limited to, if for any reason the Rewards Program is not capable of running as planned or if the administration, security, fairness, integrity, or proper conduct of the Rewards Program is corrupted or adversely affected, including by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond LionsBet Affiliates' control. LionsBet Affiliates reserves the right to cancel, terminate, modify or withdraw the Reward Program without prior notice and without liability to the Member.
All taxes, fees, and surcharges, if any, on Rewards are the sole responsibility of the prize-winner. Acceptance of a prize constitutes permission for LionsBet Affiliates and its advertising and promotional agencies to use the recipients name, photograph and/or likeness for advertising and promoting and publicizing the services of LionsBet Affiliates in any medium without compensation, unless otherwise prohibited by law.
Members release and hold harmless LionsBet Affiliates and their merchants and their respective members, subsidiaries, directors, officers, agents, employees, and all others associated with the development and execution of the Reward program from any and all liability with respect to or in any way arising from the Reward program and the awarding, use or misuse of the prize, including liability for personal injury or damage to property including any injury or damage to Member's or any other person's computer.
CONFIDENTIAL Policy
LionsBet will insure the confidentiality of its Members. No disclosure for personal or business information to third parties shall be made without the Member's authorization.
We will not share or give your name, addresses, or any personal information/data related to you or your business to any third party whatsoever. Those data will be confidential and will remain confidential.
NO WARRANTIES
The Member acknowledges that LionsBet Affiliates does not advocate or endorse the purchase or the use of any products or services offered through the site or through its software, nor does it guarantee the quality, fitness, or results of any such service or compliance with any law or regulation.
LIONSBET MAKES NO REPRESENTATIONS AND GRANT NO WARRANTIES, WHETHER EXPRESS OR IMPLIED, EITHER IN FACT OR BY OPERATION OF LAW, BY STATUTE OR OTHERWISE, AND LIONSBET SPECIFICALLY DISCLAIM ANY OTHER WARRANTIES, WHETHER WRITTEN OR ORAL, OR EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF QUALITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR USE OR PURPOSE OR ANY WARRANTY AS TO THE VALIDITY OF ANY PATENTS OR THE NON-INFRINGEMENT OF ANY INTELLECTUAL PROPERTY RIGHTS OF THIRD PARTIES.
TERM AND TERMINATION
This Agreement shall take effect once your application is accepted as described for in these Terms and Conditions.
WE MAY TERMINATE THIS AGREEMENT IF WE DETERMINE (IN OUR SOLE DISCRETION) THAT YOUR SITE IS UNSUITABLE.
LionsBet Affiliates may from time to time review Members? participation in the program.
LionsBet Affiliates may choose to cancel any Member?s participation in the program, at its absolute discretion, if it reasonably believes the Member to have behaved in such a manner contrary to the terms or intent of the program.
Unsuitable sites may include those that: are aimed at children, promote sexually explicit materials, promote violence, promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age, promote illegal activities, or violate intellectual property rights.
Upon termination of the agreement between you and LionsBet, all your rights granted under the present Terms and Conditions shall cease to exist. You shall be required to remove any and all LionsBet Proprietary Material provided to you by LionsBet for the purpose of this Agreement and shall refrain from using any trademark, logo, marks, banners or promotional materials that were provided to you by LionsBet.
You hereby acknowledge that you shall not be entitled to receive your Commission as provided for under these Terms and Conditions, in the event of termination of the agreement between you and LionsBet.
RISK ALLOCATION
Neither party will be liable to the other party (nor to any person claiming rights derived from the other party's rights) for incidental, indirect, consequential, special, punitive or exemplary damages of any kind -- including lost revenue or profits, loss of business, or loss of data -- arising out of this Agreement.
ACKNOWLEDGEMENT OF NO WARRANTY
Except as expressly provided herein, neither party warrants that their respective websites will perform in the manner expected or without interruption, error, or defect, or that any revenue to either party will result from the activities contemplated by this Agreement. Except as expressly set forth in this agreement, neither party makes any warranties of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose or warranties against infringement of any intellectual property rights not specifically enumerated.
INDEPENDENT CONTRACTORS
LionsBet Affiliates and you are independent contractors under this Agreement, and nothing herein shall be construed to create a partnership, joint venture, or agency relationship between Lionsbet Affiliates and you. Neither party has the authority to enter into Agreements of any kind on behalf of the other party.
APPLICABLE LAW AND DISPUTE RESOLUTION
This Agreement shall be governed by and construed in accordance with the laws of France. All disputes arising out of or in connection with the present Agreement shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce (ICC) by one or more arbitrators appointed in accordance with the said Rules. The arbitration proceedings shall take place in Paris (France) and shall be conducted in English. Any award of the arbitrator shall be final and binding.
Notwithstanding anything to the contrary provided for herein, LionsBet shall be entitled to seek any protective measure including without limitation injunction relief (whether a restraining order or preliminary injunction) for the protection of its interest, whether actual or contemplated in any court of competent jurisdiction.
DISCLAIMER
LionsBet does not imply representations or warranties regarding the services and website provided therein. Any implied warranties of LionsBet ability, fitness for a particular purpose, and non-infringement are expressly disclaimed and excluded.
We make no representation that the service and operation of our website will be uninterrupted or error free, and we will not be liable for the consequences of any interruptions or error.

YOUR CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING OUR POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON OUR SITE WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE.
